  • Contract means the contract of carriage between the Customer and the Carrier.
  • Consignment means goods in bulk or contained in one parcel or package, or in a number of separate parcels or packages, sent at one time in one load by or for the Customer from one address to one address.
  • Dangerous Goods means goods named individually in the current edition of the ADR agreement on the international carriage of dangerous goods by road, and any other goods of a similar hazard.
  • Demurrage means the Carrier’s charge for the unreasonable detention of its vehicle, driver or equipment.
  • Force Majeure Event has the meaning given in Condition 10(2).
  • In writing includes email and messages sent through the Carrier’s website or business messaging number.

2. Parties and sub-contracting

  1. The Customer warrants that it is either the owner of the Consignment or is authorised by the owner to accept these conditions on the owner’s behalf.
  2. The Carrier may employ the services of any other carrier within its carriers network for the purpose of fulfilling the Contract. The name of any such carrier is provided to the Customer on request.
  3. The Carrier contracts for itself and as agent of and trustee for its servants, agents and sub-contractors, all of whom have the benefit of these conditions and may rely upon them.

3. Dangerous Goods

  1. Dangerous Goods must be disclosed to the Carrier in writing before the Contract is made. If Dangerous Goods are not so disclosed, the Carrier may rescind the Contract and the Customer remains liable for the charges and for any loss or expense caused.
  2. Dangerous Goods accepted for carriage must comply with the regulations for the carriage of dangerous goods by road in force in the United Kingdom.
  3. Dangerous Goods must be packed, marked and labelled, and the transport documents completed, in accordance with the regulations for the carriage of dangerous goods by road in the United Kingdom. The Customer is responsible for the classification, packing, marking, labelling and documentation of Dangerous Goods.

4. Loading and unloading

  1. Unless otherwise agreed in writing, the Customer loads the goods on to the Carrier’s vehicle and the consignee unloads them. Where the Carrier’s driver assists, he does so at the request and on behalf of the Customer.
  2. The Customer indemnifies the Carrier against all loss, damage, injury or expense arising from loading or unloading, unless caused by the negligence of the Carrier.
  3. Where any equipment is used for loading or unloading, the Customer must ensure that it is suitable, properly maintained and used safely, and that the goods and their packaging are suitable for it.
  4. The Customer must provide safe and suitable access to the collection and delivery premises, on good sound hardstanding. The Carrier may refuse to load or unload where access or conditions are unsafe, and the Customer remains liable for the charges.

5. Obligations of the Customer

  1. The Customer warrants that the goods may lawfully be carried, are not waste and are not goods that may cause pollution or harm to persons, property or the environment.
  2. The Customer warrants that the information given about the nature, weight, dimensions, quantity and value of the goods is accurate and complete.
  3. If the Customer fails to perform any obligation under the Contract (“Customer Default”), the Carrier may suspend performance until the default is remedied, is not liable for any loss arising from the Customer Default, and may recover from the Customer any cost or loss it incurs as a result.

6. Receipts

  1. The Carrier provides, on request, a receipt for the Consignment when collected and obtains a signature on delivery.
  2. The burden of proving the condition, nature, quantity and weight of the Consignment at the time of collection lies with the Customer.
  3. The Customer may not withhold payment of the Carrier’s charges on the ground that a receipt was not provided.

7. Transit

  1. Transit begins when the Consignment leaves the premises from which it is collected.
  2. Transit ends when the Consignment is tendered at the usual place of delivery within the customary cartage hours of the district, or:
    • where no safe and adequate access or unloading facility exists, when the Carrier has given the Customer one clear day’s notice that the Consignment is held awaiting instructions; or
    • where the Consignment is held by the Carrier at the Customer’s request, when a reasonable time for its collection has expired.

8. Undelivered or unclaimed Consignments

  1. Where the Consignment cannot be delivered, or is held by the Carrier awaiting instructions, the Carrier may return, hold or redeliver it at the Customer’s cost, at the rates in the Schedule of Charges.
  2. The Carrier may sell any Consignment that remains unclaimed after giving the Customer written notice, and will account to the Customer for the proceeds of sale less the Carrier’s charges and the costs of sale.

9. Carrier’s charges

  1. The Carrier’s charges are payable by the Customer without prejudice to the Carrier’s rights against the consignee or any other person, and without set-off or deduction.
  2. Charges are as quoted in writing, based on the information supplied by the Customer. Any additional service, extra drop, waiting time, return, rebooking, refused delivery or additional charge is payable in addition at the rates in the Schedule of Charges or at cost.
  3. If the Customer becomes insolvent, or any sum is overdue, all credit terms are cancelled and all sums owed become payable immediately.
  4. The Late Payment of Commercial Debts (Interest) Act 1998 applies to all sums overdue.
  5. The Carrier’s charges exclude VAT, which is payable in addition at the applicable rate. Fuel is included in the quoted price.

10. Liability for loss and damage

  1. The Customer is deemed to have accepted the limits of liability in Condition 12 unless a higher limit is agreed in writing before transit begins.
  2. Subject to these conditions, the Carrier is liable for physical loss of, mis-delivery of or damage to the Consignment during transit, unless caused by a Force Majeure Event, which means any of the following:
    • act of God, war, invasion, riot, civil commotion or terrorism;
    • seizure or detention under legal process;
    • act or omission of the Customer, consignee or owner of the goods;
    • inherent liability to wastage in bulk or weight, latent defect or inherent defect, vice or natural deterioration of the goods;
    • insufficient or improper packing, labelling or addressing;
    • a requirement for special handling not declared to the Carrier before transit;
    • traffic congestion, road closure, delay at the collection or delivery premises, or breakdown of the vehicle not caused by the Carrier’s negligence;
    • strike, lock-out or stoppage of labour, other than of the Carrier’s own employees.

11. Fraud

The Carrier is not liable for any loss, damage or mis-delivery where the Customer, consignee or owner of the goods, or their servants or agents, have been fraudulent in respect of the Consignment, unless the fraud was contributed to by the Carrier or its employees.

12. Limitation of liability

  1. The Carrier’s liability for physical loss of, mis-delivery of or damage to the Consignment is limited to the lesser of:
    • the value of the goods actually lost, mis-delivered or damaged;
    • the cost of repairing or replacing the goods; or
    • a sum calculated at the rate of £1,300 per tonne on the gross weight of the Consignment, subject to a minimum of £10 per Consignment.
  2. The Customer may request a higher limit of liability by giving the Carrier not less than 7 days’ written notice before transit begins. A higher limit applies only if agreed in writing by the Carrier and the Customer pays the additional charge quoted.
  3. The Carrier’s liability for any other loss, including delay, is limited to the amount of the carriage charges for the Consignment or the amount of the Customer’s proved loss, whichever is the lesser, unless a special interest in delivery was declared and agreed in writing for an additional charge before transit began.
  4. The Carrier is not liable, in any circumstances, for loss of profits, loss of sales, loss of contracts, loss of anticipated savings, loss of data, loss of goodwill, any fine or penalty imposed on the Customer by the consignee, or any indirect or consequential loss.

13. Indemnity to the Carrier

The Customer indemnifies the Carrier against:

  1. all consequences of any breach of these conditions, any mis-statement, or any inaccurate or incomplete information supplied by the Customer;
  2. all loss or expense arising from insufficient or improper packing or marking of the goods, or from any fraud of the Customer, consignee or owner;
  3. all claims made against the Carrier by any person in excess of the Carrier’s liability under these conditions;
  4. all claims, duties, taxes, fines and charges in respect of dutiable or Dangerous Goods.

14. Time limits for claims

  1. The Carrier is not liable for physical loss, mis-delivery or damage to the Consignment unless notice of the claim is given to the Carrier in writing within 7 days of the end of transit, with evidence of the loss or damage.
  2. The Carrier is not liable for any other loss unless notice of the claim is given in writing within 28 days of the end of transit.
  3. The Carrier is in any event discharged from all liability unless legal proceedings are issued and served within one year of the start of transit.
  4. Where a period of seven days or less applies, Saturdays, Sundays and public holidays are not counted.

15. Lien

  1. The Carrier has a particular lien over the Consignment for all charges due in respect of it, and a general lien over any goods of the Customer in its possession for all sums due from the Customer on any account.
  2. If any lien is not satisfied within 14 days of written notice, the Carrier may sell the goods and apply the proceeds to the sums due and the costs of sale, accounting to the Customer for any balance.

16. Unreasonable detention

The Customer is liable to pay Demurrage for the unreasonable detention of the Carrier’s vehicle, driver or equipment, at the waiting time rates in the Schedule of Charges, after the free period stated there.

17. Confidentiality

  1. Each party keeps confidential the other’s business information obtained under the Contract, except to its employees, professional advisers and sub-contractors who need to know it, or where disclosure is required by law.
  2. Personal data is handled as set out in the Carrier’s privacy policy.
